(2)标有合同编号、信用证号（信用证支付条件下）及装运唛头的商业发票一式＿＿份；SignedcommercialinvoiceincopiesindicatingContractNo.,L/CNo.(TermsofL/C)andshippingmarks;(3)_______________________Packinglist/weightmemoincopiesissuedby__；(4)由____________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________CertificateofQualityincopiesissuedby___；(5)由________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________CertificateofQuantityincopiesissuedby___(CIF交货条件)；Insurancepolicy/certificateincopies(TermsofCIF)；(7)__________________________________________________________________________________CertificateofOriginincopiesissuedby___(Shippingadvice):卖方应在交付后小时内以特快专递的形式将上述第_项文件副本一式一套邮寄给买方。TheSellershall,withinhoursaftershipmenteffected,sendbycouriereachcopyoftheabove-mentioneddocumentsNo.＿＿.15.装运条款（TermsofShipment）：(1)FOB卖方应在合同规定的装运日期前30天通知买方合同号、名称、数量、金额、包装件、毛重、尺寸和装运港的装运日期，以便买方安排租赁/预订。装运船按时到达装运港后，卖方不能按时装运的，空运费或滞期费由卖方承担。在货物越过弦并脱离钩子之前，所有的费用和风险都由卖方承担。TheSellershall,30daysbeforetheshipmentdatespecifiedintheContract,advisetheBuyerbyoftheContractNo.,commodity,quantity,amount,packages,grossweight,measurement,andthedateofshipmentinorderthattheBuyercancharteravessel/bookshippingspace.IntheeventoftheSeller'sfailuretoeffectloadingwhenthevesselarrivesdulyattheloadingport,allexpensesincludingdeadfreightand/ordemurragechargesthusincurredshallbefortheSeller'saccount.

ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat%foreverydays,odddayslessthandaysshouldbecountedasdays.Butthepenalty,however,shallnotexceed%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSellerfailtomakedeliverydayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.

买方有权向卖方索赔因此遭受的其他损失。ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.

ThisContractisexecutedintwocounterpartseachinChineseandEnglish,eachofwhichshalldeemedequallyauthentic.ThisContractisincopies,effectivesincebeingsigned/sealedbybothparties.
